1. Acceptance of Terms

By accessing or using StewardRing ("Service"), operated by B.Ent Group, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

StewardRing provides cloud-based business phone services including:

  • Virtual phone numbers
  • AI-powered call handling and receptionist services
  • Voicemail with transcription
  • SMS/MMS messaging
  • Call recording and analytics
  • CRM integrations

3. Account Registration

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Make harassing, threatening, or fraudulent communications
  • Send unsolicited bulk messages (spam) or robocalls
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute malware or engage in phishing
  • Impersonate others or misrepresent your identity
  • Interfere with the Service or its infrastructure
  • Resell the Service without authorization
  • Use the Service for illegal telemarketing

Violation of this policy may result in immediate termination and potential legal action.

5. Telecommunications Compliance

You acknowledge and agree that:

  • The Service is subject to telecommunications regulations
  • You will comply with the Telephone Consumer Protection Act (TCPA)
  • You will comply with the CAN-SPAM Act for SMS marketing
  • You will obtain necessary consents before recording calls
  • 911/E911 services may have limitations compared to traditional phone service
  • Service availability depends on internet connectivity

6. AI Services Terms

StewardRing utilizes artificial intelligence ("AI") to provide automated receptionist and call handling services. By using AI features, you acknowledge and agree to the following:

6.1 AI Capabilities and Limitations: Our AI services are designed to assist with call handling, message taking, and customer interactions. However, AI is not infallible. The AI may:

  • Misunderstand or misinterpret spoken words, accents, or context
  • Provide responses that are inaccurate or incomplete
  • Fail to handle complex or unusual requests appropriately
  • Experience performance variations based on audio quality or network conditions

6.2 No Professional Advice: AI responses do not constitute professional, legal, medical, financial, or other specialized advice. You should not rely on AI interactions for critical decisions without appropriate human verification.

6.3 Human Oversight: You are responsible for monitoring AI interactions and ensuring appropriate human oversight of your business communications. We recommend regularly reviewing call transcripts and adjusting AI training data as needed.

6.4 Caller Disclosure: When AI handles calls on your behalf, callers will be informed they are interacting with an AI assistant. You may customize certain aspects of this disclosure within our guidelines.

6.5 AI Training Data: You grant us permission to use anonymized and aggregated data from your interactions to improve our AI services. We will not share your identifiable business information with third parties for AI training purposes.

6.6 AI Content Responsibility: You are responsible for the custom training, prompts, and business information you provide to the AI. You must ensure this content does not violate any laws, third-party rights, or these Terms.

6.7 Liability Disclaimer: We are not liable for any errors, omissions, or consequences arising from AI-generated responses or actions. You assume full responsibility for outcomes of AI interactions with your callers and customers.

7. Messaging and SMS Policy

StewardRing provides SMS and MMS messaging capabilities subject to the following terms:

7.1 Compliance Requirements: You must comply with all applicable laws and regulations governing electronic messaging, including but not limited to:

  • Telephone Consumer Protection Act (TCPA)
  • CAN-SPAM Act
  • Cellular Telecommunications Industry Association (CTIA) guidelines
  • Mobile carrier acceptable use policies
  • 10DLC (10-digit long code) registration requirements
  • A2P (Application-to-Person) messaging regulations

7.2 Consent Requirements: Before sending any SMS messages, you must obtain proper consent from recipients. This includes:

  • Express written consent for marketing messages
  • Clear opt-in procedures with documented consent records
  • Honoring opt-out requests within 24 hours
  • Maintaining a suppression list of opted-out numbers

7.3 Prohibited Messaging: You may NOT use messaging services for:

  • Unsolicited bulk messaging or spam
  • Messages to numbers on the Do Not Call Registry (for marketing)
  • Deceptive or fraudulent content
  • SHAFT content (Sex, Hate, Alcohol, Firearms, Tobacco) where prohibited
  • Illegal schemes or phishing attempts
  • Messages impersonating other businesses or individuals
  • High-volume messaging without proper A2P registration

7.4 Message Content Requirements: All messages must:

  • Clearly identify your business name
  • Include opt-out instructions (e.g., "Reply STOP to unsubscribe")
  • Be relevant to the stated purpose for which consent was obtained
  • Not exceed carrier-imposed length or frequency limits

7.5 Carrier Filtering: Mobile carriers may filter or block messages at their discretion. We are not responsible for message delivery failures caused by carrier filtering, spam detection, or recipient device settings.

7.6 Record Keeping: You must maintain records of consent for at least 5 years, including the date, time, method of consent, and the specific language shown to the recipient.

7.7 Violations: Violation of this messaging policy may result in immediate suspension of messaging capabilities, account termination, and potential legal liability. You agree to indemnify us against any claims arising from your messaging activities.

8. Payment Terms

8.1 Fees: You agree to pay all fees associated with your selected plan. Fees are billed in advance on a monthly or annual basis.

8.2 Usage Charges: Additional charges may apply for usage exceeding your plan limits (minutes, messages, phone numbers).

8.3 Taxes: Fees are exclusive of taxes. You are responsible for applicable taxes and regulatory fees.

8.4 Refunds: Subscription fees are non-refundable except as required by law or at our discretion.

8.5 Price Changes: We may change pricing with 30 days notice. Continued use after the change constitutes acceptance.

9. Intellectual Property

The Service, including its software, design, logos, and content, is owned by B.Ent Group, LLC and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of your content (call recordings, messages, data) but grant us a license to process it as necessary to provide the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, available at stewardring.com/privacy. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with reasonable notice)
  • Emergency repairs
  • Factors beyond our control (internet outages, carrier issues)

We are not liable for any loss resulting from service interruptions.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or available at all times.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEWARD COLLECTION, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless B.Ent Group, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

15. Termination

15.1 By You: You may cancel your account at any time through account settings or by contacting support.

15.2 By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with notice.

15.3 Effect: Upon termination, your right to use the Service ceases. Your phone numbers may be released. We may retain data as required by law.

16. Dispute Resolution

16.1 Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

16.2 Arbitration: Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except for claims that may be brought in small claims court.

16.3 Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.

17. General Provisions

17.1 Entire Agreement: These Terms constitute the entire agreement between you and B.Ent Group, LLC regarding the Service.

17.2 Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

17.3 Waiver: Failure to enforce any provision does not constitute a waiver of that provision.

17.4 Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
